1. About these Terms and Acceptance

1.1 This website at allincapitalpartners.com.au (the Site) is owned and operated by A.C.N. 690 928 995 Pty Ltd trading as All In Capital Partners (ABN 69 690 928 995) (AICP, we, us, our).

1.2 A.C.N. 690 928 995 Pty Ltd trading as All In Capital Partners is a corporate authorised representative (CAR No. 001322188) of Wexted Financial Services Pty Ltd (AFSL 528444).

1.3 By accessing or using the Site, you agree to be bound by these Terms of Use (Terms). If you do not agree to these Terms, do not use the Site.

1.4 These Terms should be read together with our Privacy Policy and any other notices published on the Site, which form part of the terms on which we make the Site available.

2. Wholesale Clients Only

2.1 AICP provides its services to wholesale clients only, as defined in sections 761G and 761GA of the Corporations Act 2001 (Cth). We do not provide financial services to retail clients.

2.2 The content of this Site is intended for, and directed only at, persons who qualify as wholesale clients (and, in relation to any capital raising, persons to whom an offer of securities may be made without disclosure under section 708 of the Corporations Act). If you are not such a person, the content of this Site is not directed at you and you should not act on it.

2.3 The Site is directed at persons in Australia. Nothing on the Site is an offer or invitation in any jurisdiction where such an offer or invitation would be unlawful, and the Site is not directed at any person in any such jurisdiction (including, without limitation, persons in the United States).

3. Information Only — No Advice, No Reliance

3.1 The information on the Site is general in nature and is provided for information purposes only. It has been prepared without taking into account your objectives, financial situation or needs.

3.2 Nothing on the Site constitutes financial product advice (whether personal or otherwise directed at your circumstances), legal advice, tax advice, accounting advice, or a recommendation to acquire, hold or dispose of any financial product.

4.2 The Site does not contain, and is not, a prospectus, product disclosure statement or other disclosure document under Chapter 6D or Part 7.9 of the Corporations Act 2001 (Cth), and has not been lodged with the Australian Securities and Investments Commission.

4.3 Any offer of securities in connection with a transaction on which AICP acts will be made only to persons to whom disclosure is not required under section 708 of the Corporations Act, and only under separate transaction documents provided directly to those persons.

5. Permitted Use of the Site

5.1 You may access and view the Site, and print or download material from it, for your own lawful, internal informational purposes only (including internal business purposes consistent with your status as a wholesale client). You must not commercially exploit, on-sell or redistribute Site content.

5.2 You must not:

  • (a) use the Site for any unlawful, fraudulent or malicious purpose;
  • (b) reproduce, modify, distribute, republish, frame, scrape, data-mine or commercially exploit any part of the Site or its content without our prior written consent;
  • (c) use any content of the Site to train, fine-tune or develop any machine-learning or artificial intelligence system without our prior written consent;
  • (d) interfere with or disrupt the Site, its servers or networks, or attempt to gain unauthorised access to any part of the Site or any connected system;
  • (e) introduce any virus, malware or other harmful code; or
  • (f) misrepresent your identity or your status as a wholesale client, or assist any other person to do so.

5.3 We may suspend or terminate your access to the Site (or any part of it) at any time without notice.

6. Intellectual Property

6.1 All intellectual property rights in the Site and its content — including text, graphics, logos, trade marks, business names, layout, design and software — are owned by or licensed to AICP.

6.2 Except as expressly permitted by these Terms or by law (including fair dealing under the Copyright Act 1968 (Cth)), you must not use, copy, adapt or reproduce any part of the Site or its content without our prior written consent.

6.3 Nothing on the Site grants you any licence or right to use any trade mark, logo or business name displayed on the Site.

7. Third-Party Links and Content

7.1 The Site may contain links to websites operated by third parties. Those links are provided for convenience only. We do not endorse, and are not responsible for, the content, products, services or privacy practices of any third-party website. You access third-party websites at your own risk.

8. Limitation of Liability

8.1 Non-excludable rights. Nothing in these Terms excludes, restricts or modifies any guarantee, warranty, right or remedy conferred on you by the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)), by Subdivision E of Division 2 of Part 2 of the Australian Securities and Investments Commission Act 2001 (Cth) (which applies in place of the Australian Consumer Law to financial services), or by any other applicable law, to the extent that it cannot lawfully be excluded, restricted or modified.

8.2 Subject to clause 8.1, and to the maximum extent permitted by law:

  • (a) the Site and its content are provided "as is" and "as available", and we exclude all conditions, warranties, guarantees and representations (whether express or implied) not set out in these Terms;
  • (b) we are not liable to you for any loss or damage (including direct, indirect, incidental, special or consequential loss, loss of profit, loss of data, or loss of opportunity), however caused (including by negligence), arising out of or in connection with your access to or use of, or inability to access or use, the Site or any content on it, or your reliance on any information on the Site; and
  • (c) where our liability cannot be excluded but can be limited, our liability is limited, at our option, to the resupply of the relevant services or the payment of the cost of having the relevant services supplied again.

8.3 We do not warrant that the Site will be uninterrupted, error-free, secure or free from viruses or other harmful code. You are responsible for your own virus protection and data security measures.

9. Privacy

9.1 Our collection, use and disclosure of personal information in connection with the Site is governed by our Privacy Policy, available on the Site, and by the Privacy Act 1988 (Cth) including the Australian Privacy Principles.

10. Changes to these Terms

10.1 We may amend these Terms at any time by publishing the amended Terms on the Site. Amended Terms take effect when published. Your continued use of the Site after amended Terms are published constitutes your acceptance of them. You should review these Terms each time you use the Site.

11. General

11.1 If any provision of these Terms is invalid or unenforceable, it is to be read down or severed to the extent necessary, and the remaining provisions continue in full force.

11.2 A failure or delay by us to exercise any right under these Terms does not operate as a waiver of that right.

12. Governing Law and Jurisdiction

12.1 These Terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales and the courts of appeal from them.
